Terms of Service
These terms apply to all use of SyncBook.
1. Who you are contracting with
SyncBook is operated by SyncBook ("we", "us"). By creating an account or continuing to use the service you agree to these terms. If you are using SyncBook on behalf of a business, you confirm you have authority to bind that business. If you are using it as an individual, you confirm you are of legal age to enter a contract.
2. What SyncBook is
SyncBook is software for defining, controlling and invoicing commercial scope: scope ledgers, proposals, addendums, invoices and payment records. SyncBook automates paperwork. It does not send messages, issue invoices, request payment, or communicate with your clients on your behalf. Every outbound action requires your explicit approval.
3. Your account
You must provide accurate information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account.
4. Acceptable use
You must not:
- use SyncBook for any unlawful purpose, fraud, or spam;
- infringe anyone's intellectual property or privacy rights;
- interfere with the security or integrity of the service, including probing, scanning, scraping, or introducing malware;
- reverse engineer, resell, or redistribute the service, or circumvent plan limits.
You are responsible for the content you upload, the scope and prices you record, and the commercial documents you choose to send to your clients.
5. AI-assisted features
Some features use automated analysis to suggest where a conversation may have drifted from agreed scope. These are suggestions only. They may be inaccurate or incomplete, they are never applied automatically, and they are not legal, financial or tax advice. You remain responsible for reviewing every suggestion before acting on it. You confirm you have the rights to the material you submit for analysis.
6. Intellectual property
We retain all rights in SyncBook, its software, documentation and branding. You retain all rights in your own data and content. You grant us a limited licence to host and process your content solely to provide the service to you.
We grant you a limited, non-exclusive, non-transferable right to use SyncBook within the plan you have selected.
7. Payment and subscription terms
SyncBook subscriptions are processed by our payment provider, Stripe. Payment, billing, tax calculation, cancellation and refund mechanics are governed by Stripe's terms of service, together with our Refund Policy.
Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from the billing portal; access continues until the end of the period you have paid for.
8. Payments you collect from your own clients
Money you collect from your clients is entirely separate from your SyncBook subscription. Where you connect your own payment account, you remain the merchant for those transactions, funds settle to you directly, and the relationship and fees are between you and that payment provider. We take no share of your client revenue.
9. Service level
We work to keep SyncBook available and correct, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using SyncBook at any time. On termination you will have a reasonable window to export your data, after which it may be deleted.
11. Liability
Our aggregate liability is limited to the subscription fees you paid in the twelve months before the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing here excludes liability for fraud, death or personal injury where that exclusion is not permitted by law.
You indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.
12. General
We may update these terms; material changes will be notified in the app. You may not assign these terms without our consent; we may assign them in a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of the jurisdiction in which SyncBook is established, and disputes will be heard by the courts of that jurisdiction.
